The rules for using our website and working with us, written in plain language.
01Introduction
These terms and conditions (the "Terms") govern your use of the Pixel Theory Studio website and the design, development, automation, marketing and brand services we provide (the "Services"). In these Terms, "we", "us" and "Pixel Theory Studio" mean the studio operated by its founders from India, and "you" means the person or company using the website or engaging us.
By using this website, sending us an enquiry or engaging us for a project, you agree to these Terms. If you do not agree, please do not use the website or the Services. A signed proposal, statement of work or a contract made through Upwork may add to, or take priority over, these Terms for that project.
02Our services
We offer custom-coded website and web application development, Webflow, WordPress, Shopify and Framer development, AI and business automation, digital marketing and SEO, and brand management including social media. The exact work for each project is described in a proposal or statement of work that you approve.
Descriptions of services on this website are for information only and are not an offer that can be accepted without a written proposal from us.
03Proposals, quotes and scope
After an enquiry we may send a written proposal setting out the scope, deliverables, timeline and price. A proposal is valid for 14 days unless it states otherwise. A project starts when you accept the proposal in writing (email is enough) and pay any deposit it requires.
Work outside the agreed scope is a change request. We will tell you how it affects the price and timeline before we start it.
04Your responsibilities
You agree to give us the information, content, brand assets, access and feedback we reasonably need, on time. You confirm that you own, or have permission to use, everything you give us, including text, images, logos, fonts and code.
Delays in feedback, content or payment may move the delivery dates. You are responsible for the final review and approval of your website, content and campaigns before they go live, including legal and regulatory compliance in your industry.
05Fees and payment
Fees are set out in the proposal and are in the currency stated there. Unless agreed otherwise, projects are billed in milestones, usually a deposit before work begins and the balance on delivery or launch. Recurring services such as maintenance, SEO or social media management are billed monthly in advance.
Invoices are due within 7 days unless stated otherwise. We may pause work on an overdue account. Fees are exclusive of taxes, duties and payment-processing charges, which you are responsible for where they apply. Deposits are non-refundable once work has started, except where we cannot deliver what was agreed.
Projects contracted through Upwork are also subject to Upwork's terms, including its payment and dispute processes.
06Revisions and change requests
Each proposal includes a stated number of revision rounds. A revision is a change to work we have already delivered that stays within the agreed scope. New pages, features, designs or strategy changes are treated as change requests and quoted separately.
07Timelines and delivery
Timelines in a proposal are estimates based on you providing what we need on time. We will do our best to meet them and will tell you early if something puts a date at risk. We are not liable for delays caused by you, by third-party platforms or by events outside our control.
08Intellectual property
When you have paid for a project in full, you own the final deliverables created specifically for you, such as the designs, custom code and written content we produced, subject to the third-party licences described below. Until payment is complete, we keep ownership of all work and you have no right to publish or use it.
We keep ownership of our pre-existing tools, code libraries, components and know-how, and grant you a non-exclusive, perpetual licence to use any of these that are built into your deliverables. Unless you ask us not to, we may show the finished work in our portfolio and case studies, and may credit ourselves in a discreet footer link.
09Third-party tools and content
Projects often rely on third-party platforms and services such as Webflow, WordPress, Shopify, Framer, hosting providers, plugins, fonts, stock media, analytics and AI services. These are provided under their own terms and prices, which you agree to. We do not control and are not responsible for their availability, changes or pricing.
Where we use AI tools as part of our work, we review the output before delivering it, but you remain responsible for checking that content is accurate and suitable for your use.
10Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for the project. This does not apply to information that is public, that was already known to the receiving party, or that must be disclosed by law.
11Warranties and disclaimers
We will perform the Services with reasonable skill and care. We do not guarantee specific results, such as search rankings, traffic, leads, sales or social media growth, because these depend on many factors outside our control.
Except as stated in these Terms, the website and the Services are provided "as is" and "as available", and we disclaim all other warranties to the fullest extent permitted by law. For a period of 30 days after launch we will fix defects in our deliverables free of charge, provided they are reported to us and are not caused by changes made by others.
12Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, including lost profits, revenue, data or goodwill, arising from the Services or this website.
Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
13Termination
Either of us may end a project by giving written notice. If you end a project, you pay for all work completed and costs committed up to the date of termination. If we end a project because of unpaid invoices or because the agreed scope or conduct becomes unworkable, you remain responsible for work completed to that point.
Clauses that by their nature should continue after termination, including payment, intellectual property, confidentiality and liability, will continue.
14Governing law and disputes
These Terms are governed by the laws of India. We will try to resolve any dispute through good-faith discussion first. If that fails, the courts of India will have jurisdiction, unless a project contracted through Upwork is subject to Upwork's dispute process, in which case that process applies first.
15Changes to these terms
We may update these Terms from time to time. The date at the top of this page shows when they were last changed. Changes apply to your use of the website from the date they are posted, and to a project only if you accept them in writing.
